Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you (“you” or “Customer”) and Celeste Business Advisors LLP, doing business as EverCFO (“EverCFO”, “we”, “our”, or “us”), governing your access to and use of the EverCFO platform (the “Service”).

By creating an account, connecting a data source, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

EverCFO is an AI-assisted financial analytics platform for small and medium-sized businesses. It connects to your accounting, commerce, and (in future versions) banking platforms, reads your business data through authorized APIs, and surfaces analyses, KPIs, deliverables, and recommendations inside your EverCFO workspace.

EverCFO is not a registered accountant, bookkeeper, tax advisor, investment advisor, broker, or legal advisor. Outputs from EverCFO are informational and decision support, not professional advice. You are responsible for consulting qualified professionals before acting on EverCFO outputs in regulated contexts (tax filings, audited financial statements, legal contracts, investment decisions, etc.).

2. Eligibility and accounts

The Service is for business use only. By creating an account, you represent that you are at least 18 years old, have the authority to bind the organization you are signing up on behalf of, and are not barred from using the Service under applicable law.

You are responsible for keeping your sign-in credentials secure and for all activity that occurs under your account. Notify us immediately at security@evercfo.ai if you suspect unauthorized access.

3. Subscription and billing

Access to certain features of EverCFO is provided on a paid subscription basis. The exact renewal period, price, taxes, trial terms (if any), and cancellation instructions are presented to you at checkout before purchase and on your billing dashboard inside the Service. By clicking the affirmative purchase button at checkout, you accept the renewal terms shown for that subscription.

  • Automatic renewal. Subscriptions renew automatically at the end of each billing cycle for the same term and at the then-current price for that plan, unless cancelled before the renewal date. You may cancel at any time from your billing dashboard; cancellation takes effect at the end of the then-current paid term, and you retain access through that date. We do not pro-rate cancellations of paid subscription terms unless required by law.
  • Trial conversion. If a paid plan begins with a free trial, the trial converts to a paid subscription at the end of the trial period unless you cancel before then. Trial length and conversion price are shown at checkout.
  • Refunds. Fees are non-refundable except where required by law (e.g. statutory cooling-off rights under applicable consumer-protection law). We may grant pro-rated credits at our discretion in exceptional cases.
  • Pricing changes.We may change the price of an existing subscription with at least 30 days’ written notice to the account owner. Pricing changes apply to the next renewal period after the notice; they do not change the price of the current paid term. If you do not agree, you may cancel before the effective date with no further charge beyond the current term.
  • Payment processor. Payment is processed by Paddle, who handles your payment-card data. We do not see or store card numbers.

4. Your data and ownership

You own your data.All business data you upload, import, or connect to EverCFO (collectively, “Customer Data”) remains yours. You grant EverCFO a non-exclusive, worldwide, royalty-free license to host, store, process, and display Customer Data solely for the purpose of providing, improving, and supporting the Service.

We will not sell your data, share it with advertisers, or use it to train general-purpose AI models on behalf of third parties. See our Privacy Policy for full detail on collection, storage, and sub-processors.

You represent that you have the right to provide all Customer Data you submit and that doing so does not violate any third party’s rights or any applicable law (including any agreements you have with the accounting or commerce platforms you connect).

Data Processing Addendum.Where EverCFO processes personal data on your behalf (for example, the personal data of your Shopify customers or accounting contacts), we act as a data processor under GDPR / UK GDPR Article 28 and equivalent provincial privacy laws. To execute EverCFO’s standard Data Processing Addendum, including the European Commission standard contractual clauses, contact legal@evercfo.ai. If executed, the DPA governs the processing of personal data on your behalf and prevails over these Terms in the event of conflict regarding such processing.

5. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any law (including anti-money-laundering, sanctions, tax, or accounting laws).
  • Reverse-engineer, decompile, scrape, or attempt to derive the source code or model weights of the Service.
  • Resell, sublicense, or commercially redistribute the Service without a separate written agreement.
  • Use the Service to send spam, malware, or other harmful content.
  • Attempt to access another customer’s data or bypass our tenant isolation, authentication, or rate-limiting mechanisms.
  • Use the Service to make decisions that have a legal or similarly significant effect on individuals without independent human review.
  • Upload data you are not authorized to share with EverCFO under your contracts with third parties (e.g. data you hold under NDA without explicit permission).

We may suspend or terminate your access if we reasonably believe you have violated this section.

6. Third-party services

EverCFO connects to third-party services (e.g. Shopify, QuickBooks Online, Xero, and Plaid for bank-account aggregation) at your direction. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of any third-party service. If a third-party service changes its API in a way that breaks EverCFO’s integration, we will work to restore the integration as quickly as practicable.

For bank-account connections via Plaid, Plaid’s terms govern the Plaid Link consent flow itself; these EverCFO Terms govern the analytical layer that uses the aggregated balances and transactions inside your workspace. Bank integration is offered as a forthcoming feature on the EverCFO roadmap; tenants who do not connect a bank account never share data with Plaid. 7. AI outputs

EverCFO uses large language models and other AI techniques to generate analyses, recommendations, and deliverables. AI outputs are:

  • Best-effort. AI can be wrong. Always verify material conclusions against the underlying data before relying on them for a business decision.
  • Not professional advice. AI outputs are not tax advice, legal advice, audit opinions, or investment advice.
  • Grounded in your data. Numeric claims in AI outputs are produced from your connected accounting and commerce data at the time of the request. If data is missing or stale, the output should disclose that. If you spot an ungrounded number, report it via the in-product feedback control.

You retain all rights in the outputs we generate from your Customer Data, subject to the license you grant us in section 4 and these Terms.

8. Service availability

We work to keep the Service available 24/7 but do not, in this version of the Terms, commit to a specific uptime SLA. We may perform scheduled maintenance and will give advance notice for maintenance windows that are expected to materially affect availability. Emergency maintenance may be performed without notice when necessary to protect security or stability.

9. Disclaimers

The Service is provided “as is” and “as available” without warranty of any kind, express or implied. EverCFO and its sub-processors expressly disclaim all warranties, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. EverCFO does not warrant that the Service or AI outputs will be error-free or that defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, EverCFO and its sub-processors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, even if advised of the possibility of such damages. EverCFO’s total cumulative liability arising out of or related to the Service or these Terms is limited to the amounts you paid to EverCFO in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless EverCFO and its officers, employees, and sub-processors from any third-party claim arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third party’s rights, including intellectual property rights.

12. Termination

You may terminate your account at any time from your billing dashboard. We may suspend or terminate your access on notice if you materially breach these Terms (including non-payment of fees) and fail to cure the breach within 14 days, or immediately if we reasonably believe continued use poses a security or legal risk.

On termination, we will retain your data for up to 30 days to allow data export, then delete it from production systems within 90 days, subject to the retention exceptions described in our Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of the province of Quebec, Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Montreal, Quebec, and the parties consent to the personal jurisdiction of those courts. This section does not deprive you of any mandatory consumer-protection rights you may have under the law of your country or province of residence.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page always reflects the current version.

Material changes (changes that materially alter your rights, our obligations, pricing, or data handling) will be communicated by email to the account owner at least 30 days before they take effect. The effective date will be stated in the notice. You may cancel your subscription before the effective date without further charge beyond the current paid term; material changes do not apply retroactively to a paid term that began before their effective date. Continued use of the Service on or after the effective date, after notice, constitutes acceptance of the revised Terms.

Non-material changes(typographical fixes, clarifications that don’t change rights or obligations) take effect on posting; we will update the “Last updated” date and may surface a notice in-product but are not required to email separately.

15. Miscellaneous

  • Entire agreement. These Terms and the documents referenced (Privacy Policy, pricing page) constitute the entire agreement between you and EverCFO and supersede any prior agreement on the same subject matter.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce a provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, on notice to you.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, government action, internet infrastructure outages, etc.).
